RULES AND REGULATIONS GOVERNING EXHIBITORS

ASSIGNMENT OR SUBLEASE:

Of said space, or any part thereof, without the consent of AAA-Arizona Highways Travel Show (AH Expo, LLC) is prohibited.

PROCEDURE FOR LEASING EXHIBIT SPACE:

You may register online at TBD.com or mail your registration to AH Expo, LLC, 3710 S. Terrace, Tempe, AZ 85282. Booth space is assigned upon payment in full for the space.

CANCELLATIONS:

Received on or after February 1, 2012 will be assessed 100% of the booth space. Canceled booth space may be reassigned by AH Expo, LLC and in no way relieves the exhibitor of the obligation to pay the full applicable assessment. Exhibitors will not be permitted to participate in the Expo without payment. Should exhibitor display and/or materials fail to arrive, the exhibitor is nevertheless responsible for the rental and payment of its exhibit space.

EVENT MANAGEMENT (AH Expo, LLC):

Reserves the right to alter event layout and booth arrangement to a design that may differ from illustration in marketing literature and to reassign exhibitor's booth location, if deemed necessary. A general admission fee may be charged to the public at AH Expo, LLC discretion. Further, if AH Expo, LLC should be prevented from holding the Expo, by a cause beyond its control, AH Expo, LLC reserves the right to alter location and/or dates of the event with reasonable notice provided to exhibitors. AH Expo, LLC has the right to cancel the Expo with no further liability than a refund of the booth space rental.

EXHIBITORS:

Agree that all regulations of AH Expo, LLC are made a part of this contract and agree to be bound by them. AH Expo, LLC reserves the right to accept or reject any contacts submitted for exhibit space. Exhibitor further agrees that AH Expo, LLC has full power to interpret and enforce all rules and regulations.

INSURANCE:

Exhibitors desiring insurance upon exhibits must purchase at their own expense. AH Expo, LLC will not be responsible for the safety of exhibits against fire, robbery, accident, or any other destructive cause, or for any injury that may arise to the public leased area, or to the exhibitors or their employees while on the event grounds. Exhibitors are responsible or any loss of equipment and/or display material resulting from theft or misplacement.

CASH SALES:

Exhibitors agree that all cash sales made during the show hours will be reported in accordance with sales tax regulations of the State and City. Exhibitors agree to obtain and maintain all licenses required by State, County and/or City.

PROMOTION:

AH Expo, LLC shall have the right to use exhibitor's name and/or logos for promotional purposes in conjunction with the Expo.

INSTALLATION/DISMANTLING OF EXHIBITS:

Hours and dates for installation, showing and dismantling of exhibits shall be those specified by AH Expo, LLC. Exhibitors shall be liable for all storage and handling charges resulting from failure to remove exhibit material from the Exhibit before conclusion of dismantling period. Under no circumstance will Exhibitors be allowed to set up or breakdown during the hours of the show.

BOOTH:

Include pipe and draping, one table, two chairs, wastebasket, company identification sign, and listing in the official event program. Electricity, Internet connection and phone lines are additional items. Additional items are available from the official decorating company or the Phoenix Convention Center. Exhibitors will be required to keep their booth area and displays neat and orderly.

DAMAGE TO PROPERTY:

Exhibitor is liable for any damage caused to building floor, walls, ceiling, columns, booth equipment, or other Exhibitor's property. Exhibitor may not apply paint, lacquer, tape adhesives, or other coating to building, floor, walls, ceiling, columns, or booth equipment. Tacking, taping, or nailing signs or banners to any permanent walls are prohibited.

THE EVENT:

Exhibits must be constructed and operated in good taste and in accordance with the best interest of the Expo. AH Expo, LLC may prohibit the installation and operation of any exhibit not meeting its approval.

OPERATION OF EXHIBITS:

Distribution of any materials by the Exhibitor shall be restricted to the Exhibitor's occupied space. Use of any public address system by Exhibitor is expressly prohibited. AH Expo, LLC at its discretion may prohibit the conduct or activity that it deems not in the best interest of the Expo.

HOLD HARMLESS:

Exhibitor assumes all responsibility and liability for any losses, damages, and claims arising out of any injury or damages to lessee's display, equipment or other property brought onto the Expo premises and Lessee shall indemnify and hold harmless the event, AH Expo, LLC and its employees and partners. The owner of the event site and their respective agents, servants and employees from any and all such losses, damages, cause of actions, suits or claims.
